Which structure is best for a small business?
It depends on how many owners you have, whether you plan to raise investment, how much risk your business carries and how much compliance you are willing to handle. A proprietorship is the simplest. A private limited company is usually preferred if you plan to raise funding. An LLP sits between the two. We will talk it through with you.
What is the difference between a private limited company and an LLP?
Both give the owners limited liability and exist separately from their owners. A private limited company has shareholders and directors and can issue shares to investors. An LLP has partners and is run under an LLP agreement, which suits professional firms and businesses that do not plan to raise equity.
Can a single person register a company?
Yes. A one person company (OPC) lets a single founder get the benefits of a company structure. Alternatively, a sole owner can run a proprietorship, which is simpler but does not give limited liability.
Can I change my structure later?
In many cases, yes. For example, a partnership firm or a private company can be converted into an LLP, and an OPC can be converted into a private limited company. Conversions have their own conditions and paperwork, so it helps to choose carefully at the start.
