What makes up the cost

  • MCA fees — Nil MCA fee ('Zero Filing Fee') when authorised capital is up to ₹15 lakh, per MCA's V3 SPICe+ FAQ. Above ₹15 lakh this is the registration fee from the official Table of Fees (Companies (Registration Offices and Fees) Rules, 2014, Annexure, item I.A(I)2(b)) for a company other than OPC/small company. That fee is ₹36,000 above ₹10 lakh + ₹300 per ₹10,000 (or part) up to ₹50 lakh, which is ₹51,000 at ₹15 lakh; then + ₹100 per ₹10,000 up to ₹1 crore; then + ₹75 per ₹10,000 above ₹1 crore. The additional fee is capped at ₹2.5 crore. Not included: (a) the per-document filing fee in item 5 of the same table (₹400 below ₹25 lakh, ₹500 from ₹25 lakh to below ₹1 crore, ₹600 from ₹1 crore) — MCA's FAQ lists form, MoA and AoA fees in the SPICe+ challan, but how many filing fees the portal adds above ₹15 lakh couldn't be confirmed; (b) the concessional OPC/small-company scale in the same table (₹2,000 above ₹10 lakh + ₹200 per ₹10,000 up to ₹50 lakh, i.e. ₹12,000 at ₹15 lakh), which may apply instead. MCA's Enquire Fees service gives the exact figure.
  • Stamp duty — each state charges stamp duty on the company's MoA and AoA, paid online through the SPICe+ filing.
  • Digital signatures (DSC) — needed by directors and subscribers to sign the forms: ₹1,500 each.
  • Professional fee — ₹6,000 + GST as applicable (currently 18%) for name approval, drafting, filing and follow-up until your Certificate of Incorporation, PAN and TAN are issued.

Frequently asked questions

Is this the final cost of registering a private limited company?

No — it is a tentative estimate. Government fees and stamp duty are calculated by the MCA portal when the SPICe+ form is filed, and rates can change. We confirm the exact amount before you pay.

Why does the cost change from state to state?

Stamp duty on the Memorandum (MoA) and Articles of Association (AoA) is set by each state, and some states charge a fixed amount while others charge based on authorised capital.

How many digital signatures (DSC) do I need?

Usually one for each proposed director and subscriber who signs the incorporation forms. A private limited company needs at least two directors, so most start with two DSCs.

What is not included in this estimate?

Costs such as notarisation or attestation where needed, courier, bank charges, and any later compliance (auditor appointment, commencement of business filing, GST registration) are not included.

Government costs only: excludes DSC, professional fees and GST on professional fees. Stamp duty is a state levy and follows the state of the registered office. It is paid electronically through the MCA portal at SPICe+ Part B filing. Sikkim is the exception: it isn't collected there. State rates and MCA fees change. The MCA portal computes the final stamp duty and fee at filing. Treat these figures as an estimate. Name reservation: MCA's FAQ says ₹1,000 is charged when SPICe+ Part A is filed on its own to reserve a name first. If Part A and Part B are filed together, this fee may not apply. DIN allotment for up to three directors through SPICe+ carries no separate fee. There is no MCA fee for e-MoA (INC-33), e-AoA (INC-34) or AGILE-PRO-S up to ₹15 lakh capital. Only government sources are used. The base for every state is MCA's official stamp-duty table ('Stamp duty rates_SPICeB', 25-Nov-2024). A state departs from it only where an official state source confirms a newer rate (Maharashtra). Elsewhere the state may have amended its rate since, and the portal computes the final duty. Rates are for companies having share capital (private limited). Section 8 and no-share-capital companies have different (often nil) rates. The 'other' stamp item is the small stamp duty on the SPICe+ Part B (INC-32) form itself. No state stamp duty is collected on INC-9 or other declarations through SPICe+. MCA fee slab maths: for a slab with 'per', fee = base + amount × ceil((authorised capital − previous slab's upTo) / per). A slab with only 'amount' is a fixed fee. upTo is inclusive. Stamp rule maths: percent = capital × rate/100, then min/max. perUnit = amount × ceil(capital / per), then min/max. Slabs pick the first slab whose upTo ≥ capital, and a slab 'rate' applies to the whole capital.
